Terms of Service

Effective date: 1 March 2026

1. Acceptance of Terms

By accessing or using the ChatEngage platform ("Service") operated by SS Wealthserv Technologies Pvt. Ltd. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

ChatEngage provides a SaaS platform that enables businesses to send and receive messages via the WhatsApp Business API, run broadcast campaigns, automate conversations, and view analytics. The Service is subject to these Terms and any additional policies referenced herein.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using the Service, you represent that all information you provide is accurate and that you have the authority to bind any organisation on whose behalf you use the Service.

4. Account & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at hello@chatengage.in if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. WhatsApp Business API Compliance

Your use of the Service is subject to Meta Platforms, Inc.'s WhatsApp Business API Terms and Policies. You agree not to use the Service to send spam, unsolicited messages, or content prohibited by Meta or applicable law. Violation may result in immediate account suspension.

6. Prohibited Uses

You may not: (a) use the Service for illegal purposes; (b) infringe third-party intellectual property rights; (c) transmit malware or harmful code; (d) reverse engineer or attempt to extract source code; (e) resell or sublicense the Service without prior written consent; (f) use the Service to harass, threaten, or defraud others.

7. Fees & Payment

Subscription fees are billed in advance on a monthly or annual basis as selected. All fees are exclusive of applicable taxes. We use third-party payment processors; by subscribing you agree to their terms. Failure to pay may result in service suspension after a 7-day grace period.

8. Intellectual Property

The Service, including all software, designs, logos, and documentation, is owned by or licensed to the Company and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes.

9. Your Content

You retain ownership of content you upload or transmit ("User Content"). By using the Service, you grant us a limited licence to process User Content only to the extent necessary to deliver the Service. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total cumulative liability for any claims under these Terms shall not exceed the fees paid by you in the three months preceding the claim.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease. We will make your data available for export for 30 days post-termination, after which it may be deleted.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to resolve amicably within 30 days. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in Mumbai, conducted in English.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
